Our LLP Group Board (the Board) which has responsibility for the management of the LLP Group, delegated to it by the Members (the owners of the business), is seeking to appoint a Non-Executive Director (NED), replacing one of our two existing NEDs who is completing two successful terms in the role.

This appointment is an important one for the Firm as we work to deliver our strategy in a fast moving market that is presenting many opportunities and challenges.

By way of context, our Board currently comprises, in addition to the two NEDs, the Senior Partner (acting as Chair), five Elected Members (elected by the Members from within the Member group), the Managing Partner and the Chief Finance Officer.

Our NEDs assist our Board in achieving its objectives by bringing invaluable external insight and thinking alongside experience of the setting and delivery of strategy, decision making and the creation of sustainable value for our various stakeholders.  In addition to being Board members, our NEDs also chair and are members of our Audit Committee and our Remuneration & Nomination Committee.

Role Responsibility

The core responsibilities are set out in our Governance Handbook but in summary the role involves:

  • Promoting the success of the LLP Group, considering the likely consequences of any decision from the perspective of the interests of Members and colleagues, the impact on our community and the environment, the impact on clients, suppliers and others and the need to maintain our reputation for high standards of business conduct.
  • Providing constructive challenge for the Executive members of the LLP Group Board (i.e. the Managing Partner and CFO) in order to support the delivery of the Firm’s strategy.
  • Providing support to the LLP Group Board in anticipating and managing risk.
  • Overseeing the reporting of business performance and the integrity of financial information, ensuring that controls and systems of financial risk management are robust and defensible.
  • Acting as a sounding board for the Senior Partner and Managing Partner.
  • Leading the annual performance review process for the Senior and Managing Partner, including seeking feedback from Partners to support this process.
  • Chairing the LLP Group Remuneration and Nomination Committee (which comprises our other NED and the Senior Partner) including orchestrating the annual consultation on and settlement of Senior and Managing Partner remuneration.
  • Membership of the Audit Committee (which comprises the Senior Partner, our other NED and two of our Elected Members).

In carrying out their role, we expect our NEDs to uphold high standards of integrity and probity, to instil the appropriate culture, values and behaviours in the boardroom and beyond and to perform the duties faithfully, efficiently and diligently.

The Ideal Candidate

About You

We are looking for an individual able to command the respect of our Members and whose ambitions and values align with ours.  Our ideal candidate will have energy and enthusiasm as well as sufficient time to commit to our business.  An outstanding communicator, they will combine a lively sense of curiosity with the ability to support and challenge the debate in the boardroom and influence fellow Board members.

We are looking for someone with experience of working at senior level within complex and fast moving organisations preferably operating internationally.  Experience of reshaping businesses would be advantageous.

The successful candidate will be able to demonstrate current and relevant Non-Executive Director experience.

Professional services/law firm experience may be considered of value, in particular experience in the application of good corporate governance and risk management in a professional services/law firm environment.  However, we would not want potential candidates to rule themselves out should they be unable to demonstrate experience in these sectors.

As the role will involve chairing our Remuneration and Nomination Committee, we are interested in candidates who have previous experience in this area, including experience of leadership succession.

Experience in the areas of innovation/digitisation/AI and enhanced automation would provide useful support to the Board as we consider their potential impact on legal services businesses and consequential changing business models.
